THE PURPOSE OF THE FUND IS TO PROVIDE BENEFITS TO ELIGIBLE PARTICIPANTS TO EASE ECONOMIC HARDSHIP ARISING FROM DISRUPTION OF EMPLOYMENT.

THE PLAN IS AN EMPLOYEE WELFARE BENEFIT PLAN PROVIDING SUPPLEMENTAL UNEMPLOYMENT AND SEVERANCE BENEFITS.

THE UNISYS SUPPLEMENTAL UNEMPLOYMENT BENEFITS PLAN TRUST (THE "TRUST") FORMS A PART OF THE UNISYS SUPPLEMENTAL UNEMPLOYMENT BENEFITS PLAN (THE "PLAN") IN ACCORDANCE WITH SECTION 501(C)(17) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE "CODE"). THE ACTIVITY OF THE TRUST INCLUDES RECEIVING CONTRIBUTIONS FROM UNISYS CORPORATION (AS PLAN SPONSOR) AND PAYING SUPPLEMENTAL UNEMPLOYMENT BENEFITS TO ELIGIBLE PARTICIPANTS UNDER THE PLAN. AS REQUIRED UNDER CODE SECTION 501(C)(17), THE EXCLUSIVE PURPOSE OF THE PLAN AND TRUST IS TO PROVIDE SUPPLEMENTAL UNEMPLOYMENT BENEFITS TO ELIGIBLE EMPLOYEES, AS A RESULT OF THEIR INVOLUNTARY SEPARATION FROM THE EMPLOYMENT OF UNISYS CORPORATION OR CERTAIN OF ITS SUBSIDIARIES AS PART OF A WORKFORCE REDUCTION OR LAYOFF.

PROVIDING SUPPLEMENTAL UNEMPLOYMENT BENEFITS TO PLAN PARTICIPANTS WHO HAVE LOST EMPLOYMENT DUE TO AN INVOLUNTARY SEPARATION FROM EMPLOYMENT DUE TO A REDUCTION IN FORCE, ELIMINATION OF POSITIONS, THE DISCONTINUANCE OF A PLANT OR OPERATION, OR OTHER SIMILAR CONDITIONS OR EVENTS.

The trust was setup to administer the Cenveo Worldwide Limited's (Cenveo) Supplemental Unemployment Benefit Plan. This Plan was created to benefit employees of Cenveo that have been involuntarily separated, without cause, from employment with the company. Cenveo Worldwide Limited is the successor corporation of Cenveo Corporation.
